Welcome to Kabadigo, a digital platform operated by Moroliya Scrap Venture Private Limited (hereinafter referred to as "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") form a legally binding agreement between you ("User", "you", or "your") and Kabadigo regarding your access to and use of our website, mobile application, and scrap collection/recycling services. By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of any Kabadigo platform or service.


1. Introduction & Scope

Kabadigo provides an innovative digital marketplace and logistics solution that connects users (households, businesses, industries) with verified scrap collectors and recycling partners. Our objective is to streamline waste management, promote circular economy principles, and ensure transparent, efficient, and environmentally responsible scrap disposal. These Terms apply to all interactions including but not limited to: account registration, booking pickup requests, price negotiations, payment transactions, feedback systems, and any ancillary services offered through our app or website. By using Kabadigo, you enter into a direct contractual relationship with Moroliya Scrap Venture Private Limited.

2. User Eligibility & Account Obligations

2.1 Eligibility criteria: You must be at least 18 years of age and possess legal capacity to contract under Indian law. If you act on behalf of a business entity, you warrant that you have authority to bind that entity to these Terms.

2.2 Account registration: To access full features (scheduling pickups, receiving payments, transaction history), you must register using accurate, complete, and current personal/business information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Promptly notify us of any unauthorised access.

2.3 Accuracy of scrap details: When creating a pickup request, you must provide truthful description, category, approximate weight, and condition of scrap materials. Any misrepresentation (e.g., declaring non-hazardous waste that is actually hazardous) may result in immediate suspension and legal liability.

3. Prohibited, Hazardous & Illegal Materials

You are strictly prohibited from offering, selling, or delivering any of the following materials through Kabadigo:

  • Hazardous waste: Chemical waste, asbestos, medical/infectious waste, radioactive substances, industrial solvents, pesticides, or any material classified as hazardous under the Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016, India.
  • Flammable/explosive items: Gas cylinders, fireworks, petrol/diesel residues, lithium batteries (defective/damaged without proper declaration), or any substance with flashpoint below 60°C.
  • Illegal goods: Stolen property, counterfeit items, smuggled goods, or any material whose possession/sale violates Indian Penal Code or local laws.
  • Electronic waste without compliance: Certain e-waste must be handled via authorised channels; you warrant compliance with E-Waste (Management) Rules, 2022.

Kabadigo reserves the right, without prior notice, to refuse collection, cancel transactions, and report to relevant authorities if prohibited materials are detected. You shall bear all costs for proper disposal and any penalties imposed due to violation of this clause.

4. Independent Service Partners & Liability Framework

Our scrap collection, weighing, and transportation services are performed by third-party partners ("Service Partners") who are independent contractors, not employees, agents, or joint venturers of Kabadigo or Moroliya Scrap Venture Private Limited. Although we vet partners for basic credentials, we do not control their operations, vehicles, or personnel. The relationship between you and the Service Partner is separate. Kabadigo acts as a technology intermediary facilitating the match between user and partner. Any disputes regarding quality of service, damage during pickup, or weight discrepancies shall be resolved directly between you and the partner. However, we provide dispute resolution assistance in good faith. Kabadigo disclaims all liability for loss, theft, or damage to scrap after handover to the partner unless caused by our gross negligence.

5. Pricing, Valuation & Payment Terms

5.1 Price determination: Estimated pricing is generated based on real-time market rates for recyclable commodities (e.g., ferrous metals, non-ferrous metals, paper, plastic, glass, e-waste). Final payout is determined after physical inspection by the Service Partner at the time of pickup. Kabadigo provides a dynamic price indicator but does not guarantee final amount until verification.

5.2 Payment processing: Payments are made via bank transfer, UPI, digital wallets, or cash (where legally permitted). Transaction fees (if any) are disclosed before confirmation. Kabadigo uses third-party payment gateways; we are not responsible for gateway errors, delays, or data breaches beyond reasonable control.

5.3 Taxes and GST: Applicable Goods and Services Tax (GST) or other statutory levies shall be borne as per Indian tax laws. If you are a business entity with valid GST registration, you must provide accurate GSTIN for applicable tax compliance.

5.4 Price changes: We reserve the right to modify pricing models or scrap rate cards with reasonable notice (via app notification or email). Continued use constitutes acceptance.

6. Data Collection, Privacy & Consent

Kabadigo collects personal information including names, addresses, contact numbers, location data, transaction history, and device identifiers to provide and improve services. Our Privacy Policy (available at kabadigo.com/privacy) details data handling, retention periods, user rights (access, correction, deletion), and security measures. By using the platform, you explicitly consent to such collection and processing in accordance with the Privacy Policy and applicable laws (including Digital Personal Data Protection Act, 2023, when enforced). We never sell personal data to third parties for marketing without your explicit consent.

7. Prohibited Conduct and Enforcement Actions

You shall not engage in any of the following conduct:

  • Manipulating platform features, fake bookings, or creating multiple accounts to abuse referral programs.
  • Providing false or misleading information about scrap type, weight, or ownership to obtain higher pricing.
  • Harassing, threatening, or abusing any Service Partner, customer support, or other users.
  • Reverse engineering, scraping data, or attempting to bypass security measures of the app or website.
  • Using the service to launder money or facilitate any criminal activity.

Violation may lead to immediate account suspension, permanent ban, forfeiture of pending payments, and referral to law enforcement. Kabadigo retains sole discretion to determine prohibited conduct.

8. Termination & Suspension of Services

8.1 Termination by user: You may delete your account at any time via app settings or by writing to support@kabadigo.com. Any pending transactions will be completed per existing agreements.

8.2 Termination by Kabadigo: We may suspend or terminate your access immediately if: (a) you breach any material provision of these Terms; (b) you attempt to sell prohibited/illegal items; (c) we detect fraudulent activity; (d) required by law or regulatory directive; (e) your account remains inactive for 24 consecutive months. Termination does not relieve you of liabilities incurred prior to termination.

8.3 Effect of termination: Upon termination, your right to use the platform ceases, we may delete your data subject to legal retention requirements, and no refunds or compensation shall be provided for any incomplete or pending bookings except where required by consumer protection laws.

9. Limitation of Liability

To the maximum extent permitted under Indian law (including the Information Technology Act, 2000, and Consumer Protection Act, 2019), Kabadigo, Moroliya Scrap Venture Private Limited, its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption arising out of or related to your use or inability to use the platform, even if advised of the possibility of such damages. Our total aggregate liability arising out of these Terms shall not exceed the total amount paid by you (as a selling user) or received by you (as a buyer/customer) via the platform in the three (3) months preceding the event giving rise to liability, or INR 5,000 (Five thousand rupees), whichever is lower. This limitation applies to any negligence, breach of contract, or tort claim. Some jurisdictions do not allow limitation of liability for death or personal injury; those exclusions remain applicable as per law.

10. Indemnification Obligation

You agree to indemnify, defend, and hold harmless Kabadigo, Moroliya Scrap Venture Private Limited, and each of our respective officers, directors, employees, agents, and Service Partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to: (i) your violation of any term of these Terms; (ii) your sale or delivery of illegal, stolen, hazardous, or prohibited materials; (iii) your violation of applicable laws, rules, or regulations; (iv) any dispute between you and a Service Partner; (v) your gross negligence or willful misconduct. We reserve the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.

11. Modifications & Updates to Terms

Kabadigo continually evolves its services to improve user experience, compliance, and safety. We may revise these Terms from time to time. Material changes will be notified to you via email, in-app notification, or prominent notice on our website at least 15 days prior to the effective date. Minor changes (e.g., clarifications, typographical fixes) may become effective immediately. Your continued use of the platform after the effective date of any modification constitutes your acceptance of the revised Terms. It is your responsibility to review this page periodically. If you object to any change, you must cease using the services and delete your account.

12. Governing Law, Jurisdiction & Arbitration

12.1 Governing law: These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

12.2 Exclusive jurisdiction: Subject to the arbitration clause below, any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts of Mumbai, Maharashtra, and you irrevocably consent to personal jurisdiction and venue in such courts.

12.3 Arbitration: For any dispute, claim, or controversy (except injunctive relief) arising out of or relating to these Terms or the breach thereof, the parties shall first attempt good-faith negotiation for 30 days. If unresolved, the dispute shall be finally settled by binding arbitration administered by the Mumbai Centre for International Arbitration (MCIA) in accordance with its rules then in effect. The arbitration shall be conducted by a single arbitrator appointed mutually. The seat and venue of arbitration shall be Mumbai, India. The language of arbitration shall be English. Each party shall bear its own costs, and the arbitrator may award reasonable attorneys’ fees to the prevailing party. Notwithstanding the foregoing, Kabadigo may seek interim or permanent injunctive relief from competent courts to protect its intellectual property or confidential information.

13. General Provisions

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitration tribunal, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing.

Assignment: You may not assign or transfer these Terms without our prior written consent. Kabadigo may assign these Terms without restriction to any successor or affiliate.

Entire agreement: These Terms, together with the Privacy Policy and any additional guidelines posted on our platform, constitute the entire agreement between you and Kabadigo regarding the subject matter hereof, superseding any prior agreements or communications.

Force Majeure: Neither party shall be liable for delay or failure in performance due to causes beyond reasonable control, including natural disasters, pandemics, government orders, strikes, or internet failures, provided that the affected party gives prompt notice and uses reasonable efforts to mitigate.
